These Terms of Service (“Terms”) form a legally binding agreement between you and Withloam Inc. (“Loam,” “we,” “us,” or “our”) governing your access to and use of the Loam mobile application (“App”) and the website at withloam.app (“Site”), collectively referred to as the “Service.”
By creating an account, downloading the App, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
You must be at least 16 years of age to use the Service. If you are under 18, you confirm that you have the consent of a parent or legal guardian. We do not knowingly collect personal information from children under 13 in accordance with COPPA. If we learn that we have collected information from a child under 13, we will delete it promptly.
To access most features you must create an account using a supported sign-in method (Apple, Google, or Facebook). You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@withloam.app if you become aware of any unauthorized use.
We reserve the right to suspend or terminate your account if you violate these Terms or if your account shows no activity for a continuous period of 24 months.
Loam provides guided meditations, breathing exercises, soundscape mixing, journaling, sleep content, wellness tracking, AI-personalized meditation sessions (“The Moment”), a text-based AI wellness companion (“Sage”), and an optional voice-based AI wellness companion (“Sage Voice”). The Service is designed for general wellness purposes only and is not a substitute for professional medical advice, diagnosis, treatment, psychotherapy, counseling, or emergency services. Always seek the advice of a qualified health provider with any questions you may have regarding a medical or mental-health condition.
The free tier gives you limited access to meditations, breathing exercises, and one AI-generated Moment per week. Specific limits (such as the number of sessions per week or soundscape mixing restrictions) may change as the Service evolves. We will provide reasonable notice of material changes.
A premium subscription unlocks the full meditation library, unlimited breathing exercises, advanced soundscape mixing with binaural beats, additional AI-generated Moments per week, and all guided programs. Subscription pricing, billing frequency, and features are displayed in the App at the time of purchase.
Moment Credits are consumable in-app purchases that allow you to generate additional AI-personalized meditation sessions beyond your weekly quota. Credits are non-refundable, non-transferable, and have no cash value. Unused credits do not expire.
Premium subscriptions are billed through the Apple App Store or Google Play Store (each a “Store”). By subscribing, you authorize the applicable Store to charge your chosen payment method on a recurring basis. Subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the renewal date.
You may cancel your subscription at any time through your Store account settings. Cancellation takes effect at the end of the current billing period — you retain premium access until then. Refunds are handled by the applicable Store in accordance with their refund policies.
We reserve the right to change subscription pricing. If we do, we will provide at least 30 days' advance notice. Any price change will apply to the next billing cycle after the notice period.
You agree not to:
All content in the Service — including guided meditations, scripts, audio recordings, soundscapes, artwork, animations, text, and software — is owned by or licensed to Loam and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.
Meditation scripts generated by The Moment are created using third-party AI services on your behalf. You receive a limited, personal, non-commercial license to listen to and replay your generated sessions within the App. You may not extract, redistribute, or commercially exploit the generated audio.
You retain ownership of content you create within the Service, such as journal entries and personal notes. By using the Service, you grant us a limited license to store and process your content solely to operate and improve the Service. We will never sell your personal content to third parties.
The Service is not a medical device and is not intended to diagnose, treat, cure, or prevent any disease or medical condition. Content provided through the Service — including guided meditations, breathing exercises, journaling prompts, mood tracking, and AI-generated sessions — is for general wellness and informational purposes only and should not be considered a replacement for professional medical advice, psychological counseling, psychiatric treatment, or emergency services.
You acknowledge that meditation, breathing exercises, and related wellness practices may not be suitable for everyone. Certain practices — including deep breathing techniques, extended meditation, and binaural beats — may cause dizziness, discomfort, or emotional distress in some individuals. You voluntarily assume all risks associated with your use of the Service. If you have a medical condition, psychiatric condition, or are taking medication, consult your healthcare provider before using the Service.
The Service is not designed for crisis intervention. If you are experiencing a mental health emergency, suicidal thoughts, or are in immediate danger, please contact your local emergency services (911 in the US), the 988 Suicide & Crisis Lifeline (call or text 988 in the US), or the Crisis Text Line (text HOME to 741741 in the US). Discontinue any Sage or Sage Voice session immediately and seek help from a qualified professional or emergency responder.
Sage (text) and Sage Voice (audio) are conversational AI wellness companions. They are not therapists, psychologists, psychiatrists, physicians, counselors, nurses, social workers, coaches, or healers. Using Sage or Sage Voice does not create a therapist-patient, doctor-patient, counselor-client, or any other professional relationship between you and Loam or its operators. Before your first Sage Voice session you will be asked to acknowledge these limitations; continuing to use the feature after acknowledgment constitutes your explicit acceptance of them. Sage and Sage Voice are not equipped to diagnose, treat, cure, or prevent any illness, injury, or emergency. If a conversation surfaces thoughts of self-harm, harm to others, a medical emergency, or a legal matter, stop the session and contact a qualified professional or emergency services as described in Section 9.3.
Nothing provided through the Service — including meditations, breathing practices, written journal prompts, mood tracking, AI-generated sessions, or Sage conversations — is intended to create a professional caregiving relationship. Any information or suggestion you receive through the Service is informational only, not individualized professional advice, and should never be treated as a substitute for consultation with a licensed professional.
The Moment, Sage, and Sage Voice use third-party artificial intelligence services to generate personalized meditation scripts, audio, and conversational responses. AI-generated content may occasionally produce inaccurate, incomplete, outdated, biased, or contextually inappropriate guidance, and may sometimes fail to recognize crisis language or serious conditions. We do not and cannot review every AI-generated response before it reaches you. You acknowledge that all AI-generated content — written, synthesized as audio, or spoken in a voice conversation — is provided “as is” without any guarantee of accuracy, therapeutic effectiveness, or suitability for your specific circumstances, and that you use such content at your own risk and discretion. You should not rely on AI-generated content as a substitute for guidance from a qualified wellness or healthcare professional.
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or free of harmful components.
To the maximum extent permitted by applicable law, Loam and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from (a) your access to or use of (or inability to access or use) the Service; (b) any conduct or content of any third party on the Service, including AI-generated content; (c) any content obtained from the Service; (d) unauthorized access, use, or alteration of your content; or (e) any physical or psychological effects resulting from meditation, breathing exercises, or other wellness practices performed using the Service.
Our total aggregate liability for all claims arising out of or relating to the Service shall not exceed the greater of the amount you paid us in the twelve (12) months preceding the claim or fifty US dollars (USD $50).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless Loam and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your violation of these Terms, (c) your violation of any third-party right, including any intellectual property or privacy right, or (d) any claim that your use of the Service caused damage to a third party.
You and Loam agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (collectively, “Disputes”) will be resolved exclusively through binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.
Arbitration will be conducted by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, which are available at www.adr.org. The arbitration will be conducted in the English language by a single arbitrator. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You and Loam each agree that any Dispute will be resolved only on an individual basis and not in a class, consolidated, or representative action. If for any reason a Dispute proceeds in court rather than arbitration, you and Loam each waive any right to a jury trial and agree that the Dispute may only be brought in your individual capacity, not as a plaintiff or class member in any purported class or representative proceeding.
You may opt out of this arbitration agreement by sending written notice to hello@withloam.app within 30 days of first accepting these Terms. If you opt out, the Governing Law and Disputes provisions in Section 17 apply instead.
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by Loam. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Loam shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such third-party content, goods, or services.
If you believe that any content available through the Service infringes your copyright, please send a written notification to our designated copyright agent at hello@withloam.app with the following information: (a) a description of the copyrighted work you claim has been infringed, (b) the URL or location of the allegedly infringing content, (c) your contact information, (d) a statement that you have a good faith belief that the use is not authorized by the copyright owner, and (e) a statement under penalty of perjury that the information in your notification is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Subject to the arbitration agreement in Section 14, any dispute arising from these Terms or the Service that is not subject to arbitration shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
Loam shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, acts of God, pandemic, epidemic, war, terrorism, riots, government actions, power outages, internet or telecommunications failures, cyberattacks, failures of third-party service providers (including cloud hosting, AI services, and payment processors), or any other force majeure event. During any such event, our obligations under these Terms will be suspended for the duration of the event.
We may revise these Terms from time to time. If we make material changes, we will notify you by posting a notice in the App or sending an email to the address associated with your account at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
You may stop using the Service and request account deletion at any time by contacting us at hello@withloam.app. We may suspend or terminate your access at our sole discretion if you breach these Terms, or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately, and any unused Moment Credits are forfeited. Sections that by their nature should survive termination — including intellectual property, health disclaimer, AI content disclaimer, limitation of liability, indemnification, arbitration, and governing law — will continue to apply.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights freely. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Loam regarding the Service and supersede all prior agreements.
